Instructor/Trainer Terms

These Instructor/Trainer Terms (“Terms”) govern the relationship between Eovix Technologies Private Limited (“we,” “our,” or “us”) and the instructors or trainers (“you” or “Instructor”) who create and deliver courses on our platform. By agreeing to these Terms, you acknowledge and accept the responsibilities, rights, and obligations associated with creating and delivering educational content through our platform [www.eovix.com].

1. Role and Responsibilities of the Instructor

1.1 Course Creation and Delivery: As an Instructor, you are responsible for creating and delivering high-quality educational content, including but not limited to video lessons, assignments, quizzes, and other learning materials. You agree to:

• Ensure that the content is accurate, well-organized, and suitable for the course audience.
• Provide course updates and improvements as necessary to maintain relevance and accuracy.
• Meet deadlines for course creation, delivery, and updates, as agreed with Eovix Technologies Private Limited.

1.2 Content Ownership and Licensing: You retain ownership of the original content you create. By submitting your course content to our platform, you grant us a worldwide, non-exclusive, royalty-free license to use, display, promote, and distribute your content for educational and marketing purposes.

1.3 Compliance with Standards: Your course content must comply with our Code of Conduct / Community Guidelines, intellectual property laws, and applicable educational standards. You agree to refrain from including any content that is offensive, discriminatory, or violates the intellectual property rights of third parties.

1.4 Instructor Conduct: You agree to maintain professional and respectful interactions with students and other users of the platform. Harassment, discriminatory behavior, or any form of misconduct is prohibited and may result in termination of your access to the platform.

2. Compensation and Payment Terms

2.1 Revenue Share: As an Instructor, you will receive compensation based on a revenue-sharing model. Your earnings will be a percentage of the net revenue generated from student enrollments in your courses. The specific percentage and payment structure will be outlined in your individual agreement with Eovix Technologies Private Limited.

2.2 Payment Schedule: Payments to Instructors will be made on a regular schedule (e.g., monthly) as agreed upon in the Instructor agreement. Payment will be made via the method specified in your Instructor profile (e.g., bank transfer, digital wallet), and any applicable taxes will be deducted as required by law.

2.3 Refunds and Chargebacks: In the event of refunds or chargebacks initiated by students, the Instructor’s share of the revenue for those enrollments will be adjusted accordingly. If a significant number of refunds or chargebacks occur, we reserve the right to review and adjust the Instructor’s earnings for that period.

3. Intellectual Property and Course Materials

3.1 Content Licensing: By uploading your course content to our platform, you grant Eovix Technologies Private Limited the right to use, distribute, and promote your content on our platform and in marketing materials, including through third-party partnerships. This license is non-exclusive, meaning you can use your content elsewhere, provided it does not conflict with our agreement.

3.2 Use of Third-Party Content: If you include third-party content in your courses, you must have the legal rights or permission to use and distribute that content. You are solely responsible for ensuring that any third-party content used in your courses complies with intellectual property laws.

3.3 Content Removal: We reserve the right to remove any course content that violates our policies, legal obligations, or student feedback standards. Instructors will be notified in advance of any planned removals unless there is a legal or urgent reason to act immediately.

4. Non-Compete and Confidentiality

4.1 Non-Compete Clause: During the term of this agreement, you agree not to create, market, or promote any course content that directly competes with the courses offered on our platform without our express written consent.

4.2 Confidentiality: As an Instructor, you may have access to confidential information, including but not limited to student data, platform strategies, marketing plans, and financial information. You agree to keep such information confidential and not disclose it to third parties unless required by law.

5. Termination of Agreement

5.1 Termination by Instructor: You may terminate your participation as an Instructor at any time by providing written notice to Eovix Technologies Private Limited. However, any course materials that have already been made available to students may remain on the platform, subject to the terms of this agreement.

5.2 Termination by Eovix Technologies: We reserve the right to terminate this agreement or suspend your access to the platform for violations of these Terms, including but not limited to academic dishonesty, intellectual property violations, or inappropriate conduct.

5.3 Effects of Termination: Upon termination, all licenses and rights granted under this agreement will cease, and any outstanding payments due to the Instructor will be processed in accordance with the agreed payment schedule.

6. Compliance with Laws

You agree to comply with all applicable local, national, and international laws governing your activities as an Instructor, including but not limited to tax obligations, data protection laws, and intellectual property laws. You are responsible for ensuring that your course content and delivery methods comply with any legal requirements.

7. Dispute Resolution

In the event of a dispute arising from this agreement or your participation as an Instructor, we encourage both parties to attempt to resolve the matter informally. If the dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

8. Amendments to the Terms

Eovix Technologies Private Limited reserves the right to amend these Terms at any time. Instructors will be notified of any changes, and continued participation as an Instructor following such amendments constitutes acceptance of the new Terms.

9. Governing Law and Legal Jurisdiction

This agreement is governed by the laws of India, with legal jurisdiction in Bangalore, Karnataka. Any legal disputes arising from this agreement shall be resolved in the courts of Bangalore, Karnataka, India.
